Welcome to AdDigital Communications Pvt Ltd ("AdDigital," "we," "us," or "our"). Before you engage in any business relationship with AdDigital Communications Pvt Ltd, please carefully read and understand the following Terms & Conditions. By using our services, you agree to be bound by these terms. If you do not agree with any part of these terms, please do not use our services.

1. Scope of Services:

AdDigital Communications Pvt Ltd is a Digital Marketing Agency that specializes in Social Media Marketing, Graphic Designing, Website Designing, and SEO services. Our primary aim is to provide comprehensive 360° solutions to our clients to enhance their online presence and achieve their digital marketing goals.

2. Collaboration and Communication:

Effective collaboration is crucial for the success of any project. Clients are encouraged to maintain open lines of communication with our team throughout the project lifecycle. Regular updates, feedback, and clarification of requirements are vital for achieving optimal results.

3. Contractual Agreement:

Upon acceptance of our proposal, a formal contract will be established outlining the scope of work, deliverables, timelines, and payment terms. Both parties agree to abide by the terms of this contract, and any changes must be mutually agreed upon in writing.

4. Deadlines and Timelines:

AdDigital is committed to delivering high-quality services within agreed-upon deadlines. Clients are expected to provide necessary information, approvals, and resources promptly to ensure the project stays on schedule. Any delays caused by the client may impact project timelines.

5. Payment Terms:

Clients are required to adhere to the payment terms outlined in the contract. Invoices will be issued as per the agreed-upon schedule, and all payments are due within the specified timeframe. Failure to make timely payments may result in project delays or suspension of services. All services are subject to a minimum 50% upfront payment & the remaining installments to be fully paid before handing over the work/submission within the deadline. In case of delays from the client end in providing any assistance, guidance, etc, AdDigital Communications will not be responsible whatsoever.

6. Invoicing:

Invoices will be sent electronically to the client's provided email address. Clients are responsible for promptly reviewing and addressing any discrepancies in the invoiced amount. Late payment fees may apply for overdue invoices.

7. Intellectual Property:

Unless otherwise specified in the contract, the intellectual property rights for the final deliverables rest with the client upon full payment. AdDigital retains the right to showcase the completed work in its portfolio and marketing materials.

8. Confidentiality:

Both parties agree to maintain the confidentiality of any sensitive information shared during the course of the project. This includes, but is not limited to, proprietary business information, project details, and marketing strategies.

9. Termination of Services:

Either party may terminate the contract with written notice if the other party breaches any material term of the agreement. In the event of termination, the client is responsible for payment for all services rendered up to the termination date.

10. Governing Law:

These terms and conditions are governed by the laws of Registered office of AdDigital Communications Pvt Ltd, India, and any disputes arising out of or in connection with these terms will be subject to the exclusive jurisdiction of the courts in Registered office place of AdDigital Communications Pvt Ltd only

11. Performance Metrics and Reporting:

AdDigital will provide regular performance reports as agreed upon in the contract. Clients can expect comprehensive analytics and insights related to the effectiveness of the implemented digital marketing strategies. These reports will be crucial for assessing the success of the campaign and making informed decisions for future initiatives.

12. Client Responsibilities:

The client agrees to provide all necessary materials, information, and access required for the successful completion of the project. This includes, but is not limited to, login credentials, branding guidelines, high-resolution images, and relevant content. AdDigital is not responsible for delays or issues arising from the client's failure to fulfill these responsibilities.

13. Revisions and Change Requests:

Clients are entitled to a specified number of revisions or change requests as outlined in the contract. Additional revisions beyond the agreed-upon limit may be subject to additional charges. AdDigital will make reasonable efforts to accommodate client feedback and ensure satisfaction with the final deliverables.

14. Force Majeure:

AdDigital shall not be held responsible for delays or non-performance caused by circumstances beyond our control, including but not limited to acts of God, war, terrorism, labor disputes, or government actions. In such cases, both parties agree to work together to find a suitable solution.

15. Quality Assurance:

AdDigital is committed to delivering high-quality services. If the client identifies any deficiencies or issues with the deliverables, they must notify AdDigital within a reasonable timeframe. AdDigital will make commercially reasonable efforts to address and rectify any valid concerns promptly.

16. Subcontracting:

AdDigital reserves the right to subcontract certain aspects of the project to qualified third parties. However, all subcontractors will be bound by confidentiality agreements and the terms outlined in the main contract.

17. Non-Solicitation:

During the term of the contract and for a period of 12 calendar months after its termination, the client agrees not to directly or indirectly solicit or hire any employees or contractors of AdDigital involved in the execution of the project.

18. Indemnification:

The client agrees to indemnify and hold AdDigital harmless from any claims, damages, losses, or liabilities arising out of the client's use of the delivered services or any breach of the terms outlined in the contract.

19. Amendment of Terms:

AdDigital reserves the right to amend these Terms & Conditions at any time. Clients will be notified of any changes, and continued use of our services implies acceptance of the updated terms.

20. Entire Agreement:

These Terms & Conditions constitute the entire agreement between the parties and supersede any prior agreements, whether oral or written, relating to the subject matter herein.

AdDigital Communications Pvt Ltd. - Website Development Services

General Terms of Agreement:

1. Payment Terms:

- The payment for website development services can be made in a maximum of two installments.

- The first installment (50% of the agreed amount) is payable at the time of project finalization.

- The remaining amount (50%) is due after the final design is approved and before the website goes live.

- The Agreement concludes upon handing over the website after the final payment.

2. Content Modifications:

- Any content or part of the website can be modified, edited, added, or removed within 30 working days from the final submission.

- Changes after the 30-day period will be chargeable at the rate of Rs. 1,000/- per hour of work.

3. Changes in Development:

- Changes such as the addition of pages will result in a renewed service charge calculated as per the AdDigital Communications website's pricing calculator.

4. Contract Withdrawal:

- Once the contract is finalized and an advance payment is made, it cannot be withdrawn in full or partially, irrespective of changes in services.

5. Legal Implications:

- AdDigital Communications acts only as a service provider and is not responsible for any legal implications arising from the developed website.

- The use of copyrights or trademarks is the responsibility of the client.

6. Client Responsibilities:

- The client is responsible for providing all necessary information, guidance, and a roadmap for the website development throughout the duration of the project.

Specific Terms of Agreement:

1. Basic Website:

- A static website developed on Google Sites with a minimum of 3 pages.

- Cost subject to change as per the website cost calculator.

- Delivery period: 10 working days.
